These Terms and Conditions (“Terms”) govern your use of the Universal Business Council (“UBC”) website, including any affiliated platforms and services (“the Site”). UBC is a wholly-owned brand under the ownership and control of Tosh Innovations Private Limited (“Parent Company”). By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using the Site.

1. User Obligations

1.1 By using the Site, you confirm that you accept these Terms and agree to comply with them. Your use of the Site and services constitutes your acknowledgement and acceptance of these Terms, which take effect on the date of your first use.

1.2 By accessing, using, or downloading materials from the Site, you agree on your behalf and on behalf of each entity and person you represent to abide by these Terms. You agree not to use the Site for any unlawful or prohibited activities.

1.3 UBC reserves the right to modify these Terms at any time. It is your responsibility to review these Terms regularly. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.

1.4 If you do not accept these Terms in full, you must cease using the Site and any associated services immediately.

1.5 Users acknowledge that UBC may utilize their information to publicly showcase them as valued members of the platform.

2.1 The names, logos, and trademarks identifying the Site and its related applications, services, and associated companies are proprietary marks of UBC or its affiliates.

2.2 All content and materials on the Site, including but not limited to text, graphics, logos, images, and software, are the property of UBC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

2.3 You agree to use the Site only for your personal, non-commercial purposes unless otherwise agreed in writing by UBC. You may not copy, reproduce, download, post, store, distribute, or modify the content in any way without prior written permission from UBC.

2.4 Unauthorized use of any materials or content may lead to legal consequences

3. Anti-Piracy and Misrepresentation

3.1 You agree not to pirate, copy, or duplicate any educational or non-educational content from the Site by any means.

3.2 You must not misrepresent yourself as an employee, consultant, partner, or affiliate of UBC without proper authorization.

3.3 By obtaining any certification from UBC, you hereby irrevocably authorize UBC to publicly disclose your name, designation, company name, and profile picture on its official website and in various promotional materials, identifying you as an esteemed alumnus.

4. Terms of Use

4.1 You may use the Site only for lawful purposes. You must not use the Site in a way that infringes the rights of, restricts, or inhibits the use and enjoyment of the Site by any third party. Prohibited conduct includes defamatory, offensive, or obscene behaviour, or behaviour that may harass or cause distress to others.

4.2 You must not disrupt the normal flow of dialogue on the Site or introduce material that is harmful, defamatory, or otherwise objectionable.

5. Third-Party Websites and Links

5.1 The Site may contain links to third-party websites. UBC is not responsible for the availability or content of these external sites and does not endorse, nor is it liable for, any content, advertising, products, or services on or available from such websites.

5.2 Access to linked sites is at your own risk. UBC disclaims all liability for any damage or loss arising from your use of third-party sites.

5.3 Links to this Site must direct users to complete content pages and must not be displayed within the pages of another site.

 

6. Disclaimer/Limitation of Liability

6.1 The Site, including all content, information, and services provided, is offered on an “as is” and “as available” basis. UBC disclaims any warranties, express or implied, including but not limited to implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security, and accuracy.

UBC does not warrant the accuracy, completeness, or reliability of any statement or information displayed through its website or services. You acknowledge that any reliance on such information is at your sole risk.

6.3 UBC reserves the right, at its sole discretion, to correct any errors or omissions in any part of its website or services and to make changes to its website, applications, services, products, or prices at any time without notice.

6.4 The Site does not warrant that the functions available on the website, applications, or services will be uninterrupted or error-free, or that defects will be corrected, or that the website or server will be free of viruses or bugs.

6.5 In no event shall UBC or its affiliates be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Site, its content, or services. This includes, but is not limited to, data loss, loss of profits, or any action of contract or negligence.

6.6 The views and work of our podcast guests are their own and do not reflect the opinions or policies of UBC. Our podcast features interviews with individuals and projects that are currently in the news, and these interviews are for informational purposes only. UBC disclaims any responsibility or liability for any content, accuracy, or opinions expressed during the podcast.

6.7 In no event shall the total liability of UBC exceed GBP 100.00 in any action for damages.

7. Software

7.1 From time to time, certain applications and software, which are the protected work of UBC or its suppliers, may be made available for access or download. You are licensed to use the software on a non-exclusive basis only for the purposes for which it is indicated.

7.2 You may not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise deal with the software.

8. Indemnity

8.1 You agree to indemnify and keep indemnified UBC, its affiliates, officers, employees, and agents from any claims, damages, expenses, costs, or liabilities arising in any manner from your use of the Site and its services in violation of these Terms.

8.2 UBC cannot be held responsible for the actions of individuals who have purchased educational courses or certifications. If a certified user engages in illegal activities, UBC may cancel the certification based on guidance from law enforcement.

9. Restricted Activities

9.1 As a user of UBC, you may purchase certification courses for personal use, organizational training, or resale. However, this does not entitle you to misrepresent UBC. You are prohibited from:

  • Representing yourself as an employee, consultant, partner, or affiliate of UBC to offer services that UBC does not provide.
  • Offering services that you are not authorized to provide on behalf of UBC.
  • Falsely claiming to be a cryptocurrency expert using UBC’s name.
  • Engaging in any fraudulent or illegal activities that exploit UBC’s brand.

10. Actions UBC May Take for Violations

10.1 If UBC believes you have engaged in any restricted activities, it may take the following actions:

  • Limit your access to or use of UBC resources.
  • Suspend your account without prior notice.
  • Revoke certification licenses without issuing a refund.
  • Report your activities to law enforcement authorities.
  • Notify UBC’s partners and other organizations about your illegal activities.

11. Law and Jurisdiction

11.1 These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi.

11.2 Any cause of action you may have in connection with the use of the Site must be commenced within one (1) year after the claim or cause of action arises.

11.3 If any provision of these Terms is found to be illegal or unenforceable by any court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

11.4 UBC makes no representation that materials on the website are appropriate or available for use in all locations. Access to the Site from regions where its content is illegal is prohibited. You are responsible for compliance with all local laws applicable in your jurisdiction.

12. Amendments

UBC reserves the right to amend these Terms at any time without prior notice. Changes will be posted on the Site, and your continued use of the Site after such changes will constitute acceptance of the amended Terms.
